It's not so simple, these board members are very prominent businessmen and women. They are successful business leaders or manage successful businesses outside of their Barca board duties. They have A LOT to lose outside of Barca if they simple back a sinking ship that has a new scandal every week.

Board members aren't appointed by the President. Every board member must be voted into position.
A running candidate can select an individual to be his VPs but at the end of the day they must get elected through the electoral process to gain achieve their position.
In the case of Rousaud, who was recently appointed, any board member (not just Barto) can put a nomination forward for a position and through a board voting process that individual can be voted into position by the board.
This is how it works, no president can dictate the board of directors. It defeats the purpose of having a board of directors. If this was the case, Barto could just fire both Cardoner and Rousaud tomorrow and be free of it all, but he doesn't have the power to do so.

The Board of Directors consist of people Bartomeu chose when he won the elections in 2015. Their term run concurrently with the President.

Obviously, but once you run with those people in the elections there's a clear understanding who's getting in or not. Most of the people he ran with in 2015 are a part of the Board of Directors. The few people that resigned later were filled in through Bartomeu or other board members nominating them and taking a vote on it.
